PART 1: TERMS OF SERVICE
1. Introduction
These Terms of Service ("Terms") govern the provision of cloud consulting, migration, and managed services by Beelon Cloud Solutions Ltd ("Beelon", "we", "us"), a company registered in Nigeria (RC 8899001). By engaging Beelon for professional services, you ("Client", "you") agree to these Terms. Our registered address is 5 Admiralty Way, Lekki Phase 1, Lagos, 101233.
2. Services
Beelon provides: (a) cloud migration and modernization consulting; (b) AWS infrastructure design, deployment, and management; (c) DevOps and CI/CD pipeline implementation; (d) security and compliance consulting; (e) cost optimization and AWS spend management; (f) ongoing managed cloud services. All engagements are governed by a project-specific Statement of Work (SOW) executed under these Terms.
3. Engagement and SOW
Each engagement is defined by a SOW specifying: scope of work, deliverables, timeline, acceptance criteria, fees, and payment terms. The SOW is signed by both parties before work begins. Changes to scope require a written Change Order. These Terms govern all SOWs unless the SOW explicitly overrides a specific clause.
4. Fees and Payment
Fees are quoted in US Dollars (USD) or Nigerian Naira (NGN). Payment terms: invoiced monthly or per milestone. Payment due within 14 days of invoice date. Late payments accrue interest at 1.5% per month. Beelon reserves the right to suspend services after 30 days of unpaid invoices.
5. Client Obligations
The Client shall: (a) provide timely access to infrastructure, codebases, and documentation; (b) designate a point of contact; (c) provide AWS account access (IAM roles, not root credentials); (d) review deliverables within 5 business days; (e) not share Beelon's proprietary methodologies.
6. Intellectual Property
Beelon retains ownership of its methodologies, frameworks, and automation scripts. Infrastructure and code deployed to the Client's AWS account becomes the Client's property upon full payment. Custom configurations created for the Client are licensed to the Client upon full payment.
7. Confidentiality
Both parties agree to protect confidential information including: infrastructure details, security configurations, cost data, and business strategies. Confidentiality survives termination for 3 years.
8. Data Protection
Beelon handles Client data in accordance with the Nigeria Data Protection Act (NDPA). Beelon accesses Client infrastructure solely for service delivery. Data remains in the Client's AWS account at all times.
9. Security
Beelon engineers access Client AWS environments using MFA-enforced dedicated IAM roles with least-privilege permissions. All access is logged in CloudTrail.
10. Limitation of Liability
Beelon's aggregate liability is limited to total fees paid for the specific SOW in the 12 months preceding the claim. Beelon is not liable for AWS service outages outside its control.
11. Termination
Either party may terminate with 30 days written notice. Beelon delivers completed work product upon full payment of services rendered up to termination.
12. Dispute Resolution
Disputes shall be addressed via info@beelon.net. If unresolved within 21 days, disputes shall be submitted to arbitration in Lagos.
14. Amendments
Beelon may update these Terms with 30 days written notice. Existing SOWs are governed by the Terms in effect at the time of SOW execution.
